1. Agreement to These Terms
These Terms of Service (“Terms”) govern your access to and use of the services, websites,
applications, tools, and products provided by AI3 LLC (“Ai3,” “we,” “us,” or “our”), including
https://ai3academy.com and any service that links to or references these Terms (collectively, the
“Platform”).
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy
Policy. If you do not agree, you must discontinue use immediately.
If you are using the Platform on behalf of a business or organization, you represent that you have
the authority to bind that entity to these Terms.
2. Description of the Platform
Ai3 provides AI-powered receptionist services, automation tools, appointment scheduling,
communication tools, and related business services designed to help businesses manage
interactions with their customers (“Services”).
Features may include:
• AI phone and chat receptionist
• Automated appointment booking
• Voice, text, email, and multi-channel messaging
• Workflow automation
• CRM and scheduling integrations
• Dashboard analytics, reporting, and logs
We may update, improve, or discontinue features at any time.
3. Eligibility
To use the Platform, you must:• Be at least 18 years old
• Have the legal capacity to enter into a binding agreement
• Use the Platform in compliance with all applicable laws and these Terms
Use of the Platform is prohibited where it would violate any applicable law or regulation.
4. Accounts and Security
A. Account Creation
You may need to create an account to access certain features. You agree to provide accurate and
complete information during registration.
B. Account Security
You are responsible for:
• Maintaining the confidentiality of your login credentials
• Restricting access to your account
• All activities that occur under your account
Notify us immediately if you suspect unauthorized access. Ai3 is not responsible for any loss
arising from failure to secure your account.
5. Acceptable Use
You agree not to use the Platform to:
• Violate any law or regulation
• Harass, threaten, or harm others
• Send spam or unauthorized marketing
• Upload harmful code or attempt to disrupt the Platform
• Interfere with the security or performance of our systems
• Reverse-engineer, decompile, or copy Platform functionality• Misrepresent your identity or affiliation
• Use the Platform to process highly sensitive data unless explicitly agreed to in writing
Ai3 reserves the right to investigate and suspend accounts that violate this section.
6. Customer Data & Privacy
A. Your Data
You retain ownership of all data you submit or store in the Platform (“Customer Data”).
You grant Ai3 a non-exclusive, worldwide license to use, store, process, and display Customer
Data solely as needed to:
• Provide the Services
• Maintain and improve the Platform
• Comply with legal obligations
B. Data from Your Customers
If you use Ai3 to interact with your own customers, clients, or patients:
• You are responsible for obtaining necessary permissions and consents
• You must comply with all privacy and communication laws applicable to your business
• You acknowledge that you act as the “controller” or “business” under relevant laws and
Ai3 acts as your “processor” or “service provider”
C. Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect
and handle Personal Information.
Data will not be shared with any third party.
7. Communications and Messaging Compliance
If you use Ai3 to send voice calls, SMS, MMS, emails, or other messages:
• You must comply with federal, state, and international communication laws
• You must obtain and maintain all necessary consents from message recipients• You must comply with anti-spam laws (such as CAN-SPAM, TCPA, CASL, GDPR, and
similar regulations)
Ai3 may suspend messaging features for non-compliance.
8. Subscriptions, Payments & Billing
A. Fees
Certain features require a paid subscription. You agree to pay all applicable fees as described at
the time of purchase.
B. Billing
Billing may occur monthly, annually, or as otherwise stated. By providing a payment method,
you authorize Ai3 or its payment processors to charge your payment method for all fees.
C. Auto-Renewal
Subscriptions renew automatically unless you cancel before the renewal date. You can manage or
cancel subscriptions through your dashboard or by contacting us.
D. No Refunds
Except where required by law or expressly stated otherwise, all payments are non-refundable.
9. Service Modifications and Availability
Ai3 may:
• Modify or update the Platform
• Add or remove features
• Perform maintenance
• Suspend or discontinue parts of the Platform
We strive for high availability, but we do not guarantee the Platform will be uninterrupted or
error-free.10. Third-Party Integrations
Some features connect to third-party tools (such as calendars, CRMs, messaging services, or
payment processors).
You acknowledge that:
• Ai3 is not responsible for third-party services
• Your use of third-party services is governed by their own terms
• Integrations may be changed or discontinued at any time
11. Intellectual Property
A. Ownership
All rights in the Platform, including:
• Software
• Code
• AI systems
• Databases
• User interfaces
• Designs
• Logos
• Trademarks
• Documentation
are owned by Ai3 or its licensors.
B. License to You
We grant you a limited, non-exclusive, non-transferable license to access and use the Platform
for your business, subject to these Terms.
You may not:• Copy, modify, or distribute the Platform
• Use it to create competing products
• Reverse engineer or extract source code
• Remove copyright or trademark notices
12. Feedback
If you provide suggestions, ideas, or feedback, you grant Ai3 a perpetual, royalty-free right to
use them without restriction.
13. Termination
A. By You
You may stop using the Platform at any time.
B. By Us
We may suspend or terminate your account if:
• You violate these Terms
• We suspect fraudulent or unlawful activity
• Required for safety, security, or regulatory reasons
Upon termination:
• Your right to use the Platform ends
• Certain obligations survive (such as payment, disclaimers, and liability limits)
14. Disclaimers
To the fullest extent permitted by law:
• The Platform is provided “as is” and “as available.”• We make no warranties regarding accuracy, reliability, performance, or fitness for a
particular purpose.
• We do not guarantee that AI responses are error-free or suitable for any specific purpose.
• You assume all risks associated with use of the Platform.
15. Limitation of Liability
To the maximum extent permitted by law:
• Ai3 is not liable for any indirect, incidental, special, consequential, or punitive damages.
• Ai3’s total liability for any claim will not exceed the amount you paid in the 12 months
prior to the event giving rise to the claim.
Some regions do not allow certain limitations, so these may not apply to you.
16. Indemnification
You agree to indemnify and hold Ai3 harmless from claims arising out of:
• Your use of the Platform
• Your violation of these Terms
• Your violation of laws or regulations
• Your interactions with your own customers using Ai3 services
• Messaging, communication, or data compliance obligations
17. International Users
Ai3 is based in the United States. By using the Platform, you consent to data being processed in
the U.S. and other jurisdictions.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of
law principles.Any disputes shall be resolved through:
1. Good faith negotiations, then
2. Binding arbitration in Tennessee (unless prohibited by law)
You waive participation in class actions or class-wide arbitration to the extent permitted by law.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated”
date.
Your continued use of the Platform after changes are posted constitutes acceptance of the
updated Terms.
